Processes for Assignment of Agreements
Administrative procedure for request for assignment is initiated based on filing of request, through which the limited liability companies interested submit documents for review and obtaining of authorization of ANP for:
1. Assignment of agreement
2. Merger, spin-off, or incorporation of concessionaire
3. Change of agreement operator
4. Replacement or exemption of performance guarantee
Processes for assignment follow procedures described in the Assignment Procedure Manual.
After document review provided for in the Manual and issuance of opinions and technical notes by units forming part of the Committee for Review of Partnership Proposal – CAPP, internal collegiate body of ANP request for assignment is reviewed by the Committee aiming at reviewing and recommending to the ANP Collegiate Board for approval or refusal of such request.
Then, request for assignment is submitted to legal review of ANP Attorney General and subsequent decision of ANP Collegiate Board. In the case of a production sharing agreement, the process is forwarded to the Union for decision.
Only after the approval of the assignment by the Collegiate Board, by means of a board resolution, or by the Union, if applicable, can the assignment be carried out. Therefore, an addendum to the E&P agreement must be signed so that the assignment is effective and effective.
Pursuant to article 39 of ANP Resolution No. 785/2019, the ANP will manifest itself on the approval or denial of the request within ninety days, counted from the presentation of the complete documentation and as established in that resolution. In the case of a production sharing agreement, the ANP will issue a recommendation to the Federal Government, which will decide on the request within sixty days, counted from the receipt of the recommendation.
