Agreements Assignment

Under Laws No. 9,478/1997 and No. 12,351/2010, the transfer (assignment) of oil and natural gas exploration and production agreement, in whole or in part, is permitted, provided that the subject matter and contractual terms are preserved and the assignee meets the technical, economic, and legal requirements.

Authorization for the assignment of an agreement, as well as for mergers, spin-offs, and acquisitions; change of operator; and the replacement or waiver of a performance guarantee shall be preceded by an administrative assignment proceeding.

The transfer process will be initiated and conducted by ANP, in accordance with ANP Resolution No. 785, dated May 17, 2019, and ANP Ordinance No. 132, dated July 8, 2022, and will follow the procedure described in the Assignment Procedure Manual.

ANP Resolution No. 785/2019 was published following a period of Public Consultation and Public Hearing No. 28/2018, as well as discussions regarding the Reserve-Based Lending financing model.
