CADE signs agreement with Cooper
On 6 August, the Administrative Council for Economic Defense (CADE) signed an agreement with the Cooperativa de Produção e Abastecimento do Vale do Itajaí (Cooper) for completing a transaction before the authority’s clearance, a practice known as gun jumping.
The Office of the Superintendent General at CADE (SG) launched an administrative procedure in 2024, to investigate an anonymous complaint against Cooperativa de Produção e Abastecimento do Vale do Itajaí for allegedly completing the acquisition of the company Comércio Três Irmãos Ltda., which operates in the supermarket sector of the Brazilian state of Santa Catarina, without the antitrust agency’s approval.
After an official communication by the SG, Cooper recognised the early consummation of the transaction and voluntarily notified the acquisition to CADE, in December 2024.
In June 2025, Cooper proposed an agreement committing to pay a financial contribution of BRL 388,169.33 to the Fund for De Facto Joint Rights (FDD).
After the analysis of the proposal, President Gustavo Augusto, rapporteur of the case, voted for the approval of the transaction, unanimously followed by the remaining commissioners of the Tribunal of CADE.
