CADE clears transaction between Amil and Dasa
On 24 December, the Office of the Superintendent General of CADE (SG) cleared the joint venture between Amil and Dasa. After the transaction, 25 hospitals, 6 oncological clinics, and 6 medical centres, previously owned by Amil and Dasa, will be controlled by Ímpar Serviços Hospitalares, a joint venture between the two companies.
Amil and its controlling economic group offer health and dental insurance services in Brazil. The group owns hospitals and medical centres in addition to accredited networks of doctors, hospitals, and laboratories. Dasa operates in the Diagnostic and Therapeutic Support Services market (SADT), as well as in the hospitals and outpatient care centres, and dental services markets.
The transaction incurs in a horizontal overlap; that is, in joint operations by the two companies in the general hospital, medical centre, hemodynamic, and the SADT markets in the states of Rio de Janeiro, São Paulo, and Brasília. In outpatient oncology services, the overlap was identified in these same cities, in addition to the city of Niterói in the state of Rio de Janeiro.
However, an analysis carried out by the SG indicates sufficient entry and rivalry elements to dismiss the likelihood of the companies exercising market power in relevant markets.
The transaction results in a vertical integration among several activities of the joint venture, such as support services (SADT), hospitals, medical centres, hemodynamic and oncology services, as well as other services offered by Amil. Additionally, the transaction will result in a vertical integration between support services offered by Dasa and Amil, as well as among the distribution of medicine and medical supplies, including vaccines provided by Dasa and health insurance offered by Amil.
The SG analysis indicated that the transaction would not entail a risk of market foreclosure.
